Unity Growth Fund

A marketplace for shares of private companies.

Unity Growth Fund gives investors access to pre-IPO rounds, secondaries and co-investments in private technology companies. Mindstack built UGF Market, the web platform where buyers and sellers of private stock find each other, bid, sign and settle, along with the fund’s iOS and Android investor app.

Give private-company shareholders a place to trade.

Shares in a private company are hard to sell. There is no exchange, every buyer has to be eligible, and the company often has to approve the transfer. Early employees and investors who want liquidity before an IPO usually depend on brokers and email threads to find a counterparty.

Unity Growth Fund wanted its own venue for this. UGF Market had to match sellers of private stock with eligible buyers, carry a bid from first offer to signed paperwork, and track every transfer until the fund approved it. The fund also needed a mobile app for investors in its own Reg D offerings.

Five steps between sign-up and the order book.

A new user first says how they will use UGF Market: on behalf of an institution such as a fund or SPV sponsor, as an individual buyer and seller, or as a seller only, which suits current and former employees holding stock.

The remaining steps capture place of residence and the accreditation criteria securities law asks for, the investor’s goals, acceptance of the customer agreement and an identity check, each shown as a numbered step in a progress bar across the top.

UGF Market onboarding, step one: institutional investor, individual investor or seller only

What makes private stock harder to trade than a listed share.

01

Every participant has to qualify

Private securities can only change hands between eligible parties, so accreditation sits inside onboarding. A user’s investor status, residence, accreditation answers and accepted customer agreement are captured as part of joining the marketplace.

02

Bids carry more terms than a price

A bid on UGF Market states the number of shares, the price per share, the share type, whether partial fills are acceptable with a minimum quantity, and whether the buyer will also take exposure through a forward contract or the seller’s SPV. Sellers see all of it before deciding.

03

A trade is a process with several sign-offs

Accepting a bid starts a share transfer notice between buyer and seller, and the sale can still depend on issuer approval. The platform tracks each transfer through fee agreement, commitment letter, payment details and final approval, with a timestamp at every step.

Accept a bid screen with share count, share series, price per share and terms confirmation

From a listing to an accepted bid in one screen.

Each company page shows its sellers and buyers, recent pricing and round details. A seller creates a listing with share count, price and share series, and buyers bid against it or message the seller to discuss structure and price before committing.

When the seller accepts, they confirm the share count, series and price, and agree to the marketplace terms. The dashboard’s action center then lists the agreements still waiting for a signature.

Every transfer has a timeline both sides can see.

In-progress transfers list the tasks left to complete: sign the fee agreement, sign the commitment letter, and submit payment transfer details. Both documents are signed inside the platform.

Completed transfers keep their history, from bid accepted to approval by UGF Market, so the fund and its investors have the same record of what happened and when.
